Third-Party Costs: If your project requires third-party services or tools (e.g., government filing fees, specific software licenses, premium themes/plugins, registered agent fees), these costs are separate from our service fees. We will either require you to pay these directly to the provider or invoice them to you (typically requiring upfront payment). Such third-party fees are subject to the provider’s own refund policies and are generally non-refundable through us.

6. Intellectual Property Rights

Our Content: All materials available on the Site, including text, graphics, website design, logos, icons, images, audio/video clips, data compilations, and software (“Site Content”), are the property of Bluez Innovations LLC or its licensors and are protected by US and international copyright, trademark, and other intellectual property laws. Portfolio Rights: We retain the right to showcase non-confidential aspects of the work completed for you (e.g., website screenshots, logos, case study descriptions) in our portfolio, website, and marketing materials, unless otherwise agreed in writing.
Client Content: You represent and warrant that you own or have the necessary rights to any content, data, or materials you provide to us for use in connection with the Services (“Client Content”) and that such Client Content does not infringe upon the rights of any third party. You grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display the Client Content solely for the purpose of providing the Services to you.

(C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES (INCLUDING LLC FORMATION, EIN ACQUISITION, BANK ACCOUNT OPENING, SEO RANKINGS, MARKETING ROI, OR ANY OTHER BUSINESS OUTCOME) WILL BE ACCURATE, RELIABLE, OR GUARANTEED. ANY GUIDANCE IS BASED ON OUR EXPERIENCE BUT DOES NOT GUARANTEE SUCCESS, WHICH DEPENDS ON NUMEROUS FACTORS BEYOND OUR CONTROL, INCLUDING CLIENT ACTIONS, GOVERNMENTAL AGENCIES, FINANCIAL INSTITUTIONS, AND MARKET CONDITIONS;

(D) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS; OR

(E) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

UNDER NO CIRCUMSTANCES WILL BLUEZ INNOVATIONS LLC BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICE OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BLUEZ INNOVATIONS LLC ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT OR GUIDANCE; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO OR USE OF OUR SERVICE; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN; (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICE BY ANY THIRD PARTY; (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICE; AND/OR (VII) CLIENT CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY.

IN NO EVENT SHALL BLUEZ INNOVATIONS LLC, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE TO YOU FOR ANY CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES OR COSTS IN AN AMOUNT EXCEEDING THE AMOUNT YOU PAID TO BLUEZ INNOVATIONS LLC HEREUNDER IN THE THREE (3) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

THIS LIMITATION OF LIABILITY SECTION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF BLUEZ INNOVATIONS LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

10. Indemnification

You agree to defend, indemnify, and hold harmless Bluez Innovations LLC and its subsidiaries, agents, licensors, managers, and other affiliated companies, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the Service, including any data or content transmitted or received by you; (ii) your violation of any term of these Terms, including without limitation your breach of any of the representations and warranties above; (iii) your violation of any third-party right, including without limitation any right of privacy or Intellectual Property Rights; (iv) your violation of any applicable law, rule, or regulation; (v) Client Content or any content that is submitted via your account including without limitation misleading, false, or inaccurate information; (vi) your willful misconduct; or (vii) any other party’s access and use of the Service with your unique username, password, or other appropriate security code.

11. Termination

We may terminate or suspend your access to our Site and Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

If you wish to terminate your account or service agreement, you must notify us in accordance with any specific termination procedures outlined in your service agreement, subject to the non-refundable payment policy.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles.

You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Site or Services shall be instituted exclusively in the federal or state courts located in Harris County, Texas, USA. You hereby consent to the personal jurisdiction of and venue in such courts and waive any objection as to an inconvenient forum.

Assignment: These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Bluez Innovations LLC without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.
Force Majeure: We shall not be liable for any failure to perform our obligations hereunder where such failure results from any cause beyond our reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labour, or materials.
